Terms of Service

These Terms of Service ("Terms") govern your access to and use of the stokd website at www.trystokd.com and the stokd application (collectively, the "Service"), operated by Keary Labs, Melbourne, Victoria, Australia ("we", "us", "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using stokd, you represent that you are 18 or older and have the legal capacity to enter into a binding agreement.

2. Account Registration

You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at support@trystokd.com if you suspect unauthorised access to your account. We are not liable for any loss arising from your failure to keep your credentials secure.

You may use stokd solely for lawful purposes in connection with managing your personal or business reselling operations. You agree not to:

stokd offers both a free tier and paid subscription plans. Paid plans are billed on a recurring basis (monthly or annually) via LemonSqueezy, our payment processor.

Free trial: New accounts may be eligible for a 14-day free trial of paid features. Only one free trial is permitted per account and per email address.

Billing: By subscribing to a paid plan, you authorise us to charge the payment method on file on a recurring basis until you cancel. All prices are in USD unless otherwise stated.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods.

Price changes: We may change subscription prices with 30 days' notice. Continued use after the notice period constitutes acceptance of the new price.

5. Refund Policy

We offer refunds at our discretion. If you experience a technical issue that prevents you from using the Service and we are unable to resolve it within a reasonable time, you may request a refund by contacting support@trystokd.com. Refund requests must be made within 7 days of the charge.

Refunds are not provided for: change of mind, failure to cancel before renewal, or partial use of a billing period.

6. Your Data

You retain full ownership of all data you enter into stokd (inventory, sales, expenses, contacts, etc.). We do not claim any intellectual property rights over your data.

You grant us a limited, non-exclusive licence to store, process, and display your data solely for the purpose of providing you the Service.

You are responsible for the accuracy and legality of data you enter into the Service. We are not responsible for errors in your records or any tax or reporting obligations arising from your reselling activities.

7. Data Export and Portability

You may export your data at any time using the export features within the app. Upon account deletion, we will provide a data export on request within 30 days.

The Service, including its design, code, branding, and content (excluding your data), is the intellectual property of Keary Labs. You may not copy, modify, distribute, or create derivative works of the Service without our express written permission.

"stokd" and associated logos are trademarks of Keary Labs.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy of any financial calculations or reports generated by the Service. You are solely responsible for verifying figures for tax, accounting, or business purposes.

10. Limitation of Liability

To the maximum extent permitted by law, Keary Labs and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or AUD $100 if no payment was made.

Nothing in these Terms excludes liability that cannot be excluded under Australian consumer law, including guarantees under the Competition and Consumer Act 2010 (Cth).

11. Australian Consumer Law

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your subscription and receive a refund. For minor failures, we are entitled to fix the problem within a reasonable time.

12. Indemnification

You agree to indemnify and hold harmless Keary Labs, its operators, employees, and agents from any claims, losses, damages, liabilities, costs, or expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your data or content.

13. Email Communications

By creating an account, you consent to receive transactional emails required to operate the Service (account verification, password reset, billing receipts, security notices). These cannot be opted out of while your account is active.

You also consent to receive marketing communications from stokd (product updates, new features, promotional offers). You may opt out at any time by clicking "unsubscribe" in any marketing email or by emailing support@trystokd.com. Opting out of marketing emails does not affect transactional emails.

We comply with the Spam Act 2003 (Cth), CAN-SPAM Act, and CASL. All marketing emails will identify stokd as the sender and include a functional unsubscribe link.

14. International Use

The Service is operated from Australia and governed by Australian law. If you access the Service from outside Australia, you are responsible for compliance with your local laws. We make no representation that the Service is appropriate or available in all jurisdictions.

Users in the European Economic Area and United Kingdom have additional rights under GDPR as described in our Privacy Policy. Users in California have additional rights under CCPA as described in our Privacy Policy.

15. Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time with reasonable notice. We will provide at least 30 days' notice of any discontinuation of the Service that would prevent you from accessing your data.

We may update these Terms at any time. We will notify you of material changes via email or in-app notice. Continued use after changes are posted constitutes acceptance of the updated Terms.

14. Termination

We may suspend or terminate your account immediately if you violate these Terms. Upon termination, your right to use the Service ceases. You may request an export of your data within 30 days of termination.

15. Governing Law and Disputes

These Terms are governed by the laws of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Victoria, Australia for any disputes arising from these Terms or the Service.

Before commencing legal proceedings, we encourage you to contact us at support@trystokd.com to attempt to resolve any dispute informally.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
